These Terms and Conditions ("Terms") govern your access to and use of the website and services operated by AV Design Pro Co., Ltd. ("AVD"), including product browsing, quotation requests, order placement, and any related commercial engagement. By accessing our website or transacting with AVD you agree to be bound by these Terms. If you do not accept them, please do not use the site.

1. Definitions

• "Website" means the AVD Design Pro website and all of its subdomains, pages, content, and online tools.
• "Products" means AVD-branded goods as well as third-party goods offered or distributed by AVD, together with related software, firmware, documentation, and accessories.
• "Customer" means any business entity or individual submitting an inquiry, requesting a quotation, or placing an order.
• "Quotation" means a written offer issued by AVD setting out products, prices, lead time, validity, and commercial terms for a specific opportunity.

2. B2B Use Only

AVD primarily serves business, system-integrator, reseller, and professional-installer customers. The website, quotations, and pricing are intended for business use. End-users seeking retail purchases should contact a local authorized reseller. Listing prices on the site (where shown) are indicative and expressed in USD or as otherwise marked, and may exclude VAT, duties, and shipping.

3. Product Information & Availability

We strive to ensure that product descriptions, photos, dimensions, specifications, and stock indicators on the website are accurate and up to date. However, specifications may evolve as products are revised, and images are for illustration only. AVD reserves the right to correct errors and update product information at any time without prior notice. Customers should request and rely on the formal Quotation and datasheet issued for their specific order.

4. Pricing

• All prices are subject to change without notice until confirmed in a written Quotation.
• Prices shown as "Price on Request" (POR) require a formal Quotation based on quantity, destination, and configuration.
• Unless stated otherwise, prices are Ex-Works (EXW) our warehouse and exclude packing, freight, insurance, customs duties, VAT, and other taxes.
• Quotations are typically valid for 30 days from the issue date unless a different validity is stated.

5. Orders & Acceptance

A purchase order ("PO") constitutes an offer to buy. A binding contract is formed only when AVD issues a written Order Confirmation referencing the PO, products, prices, quantities, payment terms, and estimated shipping date. AVD reserves the right to decline any order, in whole or in part, including where the product is discontinued, where stock is insufficient, where credit has not been approved, or where the order fails sanctions, export-control, or anti-fraud checks.

6. Payment Terms

• Standard payment terms for new accounts are 100% T/T in advance against Proforma Invoice, or 30% deposit + 70% prior to shipment for made-to-order items.
• Approved credit terms (e.g. Net 30) may be offered to established customers subject to AVD's credit review.
• Accepted methods: bank wire (T/T), Letter of Credit (L/C) at sight for qualifying orders, and corporate card payments where available.
• Overdue invoices may incur late-payment interest at 1.5% per month (or the maximum allowed by law, whichever is lower) and may result in suspension of future shipments.
• All banking charges on the remitter's side are borne by the Customer.

7. Shipping, Delivery & Risk

Lead times communicated on quotations or order confirmations are estimates based on supplier and logistics conditions at the time of quoting. Risk of loss passes to the Customer upon delivery to the agreed Incoterm point (typically EXW, FOB, or FCA). Title to the goods passes upon full payment in cleared funds. Customers are responsible for providing accurate shipping addresses, contact persons, import licenses, and documentation required for customs clearance in the destination country.

8. Inspection, Acceptance & Returns

Customers must inspect products within 7 days of receipt and notify AVD in writing of any shortages, damages, or visible defects within that period, including photographs and packaging condition. Products are otherwise deemed accepted. Returns are accepted only with a prior written Return Material Authorization (RMA) from AVD. Custom-configured, OEM/ODM, and special-order items are non-returnable except for confirmed warranty claims. A restocking fee of up to 15% may apply to approved non-defective returns.

9. Warranty

All AVD-branded products carry the standard limited warranty described in our Warranty Policy. Third-party products carry the original manufacturer's warranty. The warranty does not cover damage caused by misuse, improper installation, unauthorized modification, power surges, exposure to environments outside specifications, or normal wear of consumables.

10. Intellectual Property

All content on the website is owned by or licensed to AVD and is protected by copyright, trademark, and other intellectual-property laws. You may view and print content for legitimate B2B purposes. Systematic reproduction, re-publication, scraping, or commercial redistribution without prior written consent is prohibited. Third-party trademarks remain the property of their respective owners.

11. Acceptable Use

You agree not to: (a) use the site to transmit unlawful, infringing, defamatory, or harmful content; (b) attempt to gain unauthorized access to the site, servers, or databases; (c) scrape, data-mine, or otherwise extract large quantities of content; (d) interfere with site operation or security; or (e) use the site to compete with AVD by reselling content, pricing intelligence, or customer data.

12. Export Control & Sanctions

Products and technical data offered by AVD may be subject to export-control, re-export, and sanctions regulations of Thailand, the United States, the European Union, and other jurisdictions. By purchasing, the Customer represents that it and its end customers are not subject to applicable sanctions or embargoes, and agrees not to re-export, transfer, or use the products in violation of such laws.

13. Limitation of Liability

To the maximum extent permitted by law, AVD's total aggregate liability arising out of or in connection with the supply of products, website, or these Terms is limited to the purchase price actually paid by the Customer for the specific product giving rise to the claim. AVD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, revenue, data, business interruption, or goodwill.

14. Force Majeure

AVD shall not be liable for delay or failure in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, governmental action, import/export restrictions, port congestion, component shortages, shipping delays, power or communication outages, natural disasters, fire, or labor disputes.

15. Confidentiality

Quotations, pricing, confidential datasheets, OEM/ODM project materials, roadmap information, and other non-public information exchanged between AVD and the Customer shall be treated as confidential and used solely for the purposes of evaluating and performing the contract, for a minimum of three (3) years following disclosure.

16. Privacy & Data Protection

Your use of the website is also governed by our Privacy Policy and Cookie Policy, which form an integral part of these Terms.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. The parties shall first attempt to resolve any dispute amicably through good-faith negotiation. Failing resolution within 60 days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Bangkok, Thailand.

18. Changes to These Terms

AVD may revise these Terms from time to time. The updated version will be posted on this page with a new "Last Updated" date, and will apply to all orders and inquiries placed after the effective date.

19. Severability & Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with the applicable Quotation and Order Confirmation, constitute the entire agreement between the parties.
